MUTUAL NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into between Parina Voyage Group LLC, operating under the commercial brand Olexis Maritime (“Disclosing Party”), and the company represented by the undersigned (“Receiving Party”).

By accessing the Private Deals Portal, the Receiving Party acknowledges and agrees to the following terms:

1. Confidential Information

All documents, presentations, technical, commercial, financial and other information made available through the Private Deals Portal or Private Rooms shall be treated as confidential information (“Confidential Information”).

2. Permitted Use

The Receiving Party may use the Confidential Information solely for the purpose of evaluating potential business cooperation, transactions or investment opportunities presented by Olexis Maritime.

3. Non-Disclosure

The Receiving Party shall not disclose, copy, reproduce, distribute or otherwise make available any Confidential Information to any third party without the prior written consent of the Disclosing Party.

The Receiving Party shall take reasonable measures to protect the Confidential Information from unauthorized access or disclosure.

4. Ownership

All Confidential Information, documents, presentations and related materials remain the property of the Disclosing Party or their respective owners. No rights or licenses to intellectual property are granted to the Receiving Party by virtue of this Agreement.

5. Term

This Agreement shall remain effective for three (3) years from the date of acceptance.

6. Confirmation

By submitting this form and requesting access to the Private Deals Portal, I confirm that I am authorized to act on behalf of the company identified in the registration form and agree to the terms of this Non-Disclosure Agreement.
